1. Acceptance of Terms

By creating an account, accessing, or using Velona ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service.

You represent and warrant that you are at least 18 years of age or otherwise legally capable of entering into a binding agreement under applicable law.

2. Description of Service

Velona provides access to third-party artificial intelligence models, APIs, and related services through a unified platform and gateway.

The Service is provided on a usage-based billing model using prepaid wallet credits denominated in Indian Rupees (INR).

Velona may add, modify, remove, suspend, or discontinue any model, feature, provider, or functionality at any time without prior notice.

3. Account Registration and Security

You agree to provide accurate, complete, and current information when creating an account.

You are solely responsible for:

• Maintaining the confidentiality of your account credentials.
• Securing your API keys and access tokens.
• All activity occurring under your account.
• Immediately notifying Velona of any unauthorized access.

Any activity performed using your account credentials shall be deemed authorized by you.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Create, distribute, or facilitate unlawful content.
• Generate malware, ransomware, phishing content, or malicious code.
• Engage in fraud, deception, impersonation, or credential theft.
• Transmit spam or unsolicited communications.
• Infringe intellectual property or privacy rights.
• Generate content intended to harass, threaten, exploit, or harm others.
• Bypass security controls, billing systems, or rate limits.
• Reverse engineer or attempt to gain unauthorized access to the Service.
• Resell or sublicense access without written permission.

Velona reserves the right to investigate suspected violations and may suspend or terminate access at its sole discretion.

5. AI Outputs and User Responsibility

Artificial intelligence systems may generate inaccurate, incomplete, misleading, biased, offensive, or otherwise unsuitable content.

You acknowledge and agree that:

• Outputs are generated automatically by third-party models.
• Velona does not review, verify, endorse, or guarantee outputs.
• You are solely responsible for reviewing and validating outputs.
• Any reliance on AI-generated outputs is solely at your own risk.

The Service is not intended to provide legal, medical, financial, accounting, investment, employment, or other professional advice.

6. Third-Party Providers

Velona acts as an intermediary platform providing access to third-party AI models and infrastructure providers.

Velona does not control and is not responsible for:

• Model behavior or generated outputs.
• Provider outages or downtime.
• Changes in pricing or availability.
• Provider content moderation decisions.
• Provider policies or practices.

7. Payments, Wallet Credits, and Billing

Access to the Service is provided through prepaid wallet credits.

Except where required by applicable law:

• Purchased credits are non-refundable.
• Promotional credits have no cash value.
• Credits are non-transferable.
• Velona may correct billing errors at any time.

Chargebacks, payment reversals, fraudulent transactions, or disputed payments may result in immediate suspension or termination of your account.

8. Credit Expiry and Inactive Accounts

Wallet credits are intended solely for use within the Service and do not constitute a bank account, deposit, stored-value account, or monetary instrument.

Purchased credits remain valid for twelve (12) months from the date of purchase unless otherwise stated.

Any unused credits that remain unused for a continuous period of twelve (12) months may expire automatically and be removed from the account without compensation, refund, or liability to Velona, except where prohibited by applicable law.

Velona may, but is not obligated to, provide notice prior to credit expiration.

9. Data and Content

You retain ownership of content submitted to the Service.

You grant Velona a worldwide, non-exclusive, royalty-free license to process, transmit, store, analyze, and use submitted content solely for operating, maintaining, securing, improving, and providing the Service.

You represent that you possess all necessary rights to submit such content.

10. Availability and Modifications

The Service is provided on an "AS IS" and "AS AVAILABLE" basis.

Velona does not guarantee uninterrupted, secure, or error-free operation of the Service.

Velona may modify, suspend, restrict, or discontinue any part of the Service at any time without liability.

11. Suspension and Termination

Velona may suspend, restrict, disable, or terminate access to the Service immediately, with or without notice, for reasons including:

• Violation of these Terms.
• Security concerns.
• Fraudulent activity.
• Legal or regulatory requirements.
• Operational or business considerations.

Termination does not relieve any outstanding payment obligations.

12. Intellectual Property

The Service, platform software, branding, trademarks, documentation, APIs, and related intellectual property are owned by Velona or its licensors and are protected by applicable laws.

No rights are granted except as expressly stated in these Terms.

13. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, statutory, or otherwise.

Velona disclaims all warranties including merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, reliability, and security.

14. Limitation of Liability

To the fullest extent permitted by law, Velona, its founders, directors, officers, employees, contractors, affiliates, licensors, and partners shall not be liable for:

• Indirect damages.
• Consequential damages.
• Lost profits.
• Lost revenue.
• Business interruption.
• Loss of data.
• Reputational harm.
• Special or punitive damages.

Velona's total aggregate liability shall not exceed the greater of:

• INR 1,000, or
• The amount paid by you to Velona during the three (3) months preceding the claim.

15. Indemnification

You agree to defend, indemnify, and hold harmless Velona, its founders, directors, officers, employees, contractors, affiliates, licensors, and partners from and against any claims, damages, liabilities, losses, costs, expenses, or legal fees arising out of:

• Your use of the Service.
• Your submitted content.
• Your generated outputs.
• Your violation of these Terms.
• Your violation of applicable laws or third-party rights.

16. Force Majeure

Velona shall not be liable for any delay, interruption, or failure resulting from causes beyond its reasonable control, including internet outages, cloud infrastructure failures, cyberattacks, natural disasters, governmental actions, labor disputes, or third-party provider outages.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.

18. Changes to Terms

Velona may modify these Terms at any time by publishing an updated version on the Service.

Continued use of the Service after such changes constitutes acceptance of the revised Terms.

20. Grievance Officer

For grievances related to the processing of personal data or any privacy-related concerns, please refer to the Grievance Officer details in our Privacy Policy (Section 15). We will acknowledge grievances within 48 hours and resolve them within 30 days.
